Definitions
In these Terms following terms have the following meanings:
Twedie.
The social network of Users operating on the Website which enables Users to provide and view User Content and where appropriate, utilize Client Interaction;
Virtual Friend.
A User who uploads Content on the Website to be viewed by other Users;
Client.
A User who follows another Virtual Friend and views the Virtual Friend’s User Content;
Commission.
The amount calculated as a percentage of the Revenue paid by Clients to view a Virtual Friend’s User Content, purchase a Virtual Friend's content and/or merchandise or to use the Client Interaction;
Client Interaction.
Any functionality offered by a Virtual Friend as part of that Virtual Friend’s User Content which is hosted by Twedie which allows a Client to interact with (as opposed to just view) the User Content and or the Virtual Friend.
Payment Provider.
Any third party approved by MGII Enterprise LLC which enables a User to make
payments or a Virtual Friend to receive;
Payout Options.
The instruction given by each Virtual Friend to a Payment Provider as to how Commission will be transferred by the Payment Provider to the Virtual Friend;
Refund.
The return of monies to a Client after a dispute, often issued
prior to a chargeback.
Revenue.
The monies paid by a Client to MGII Enterprise LLC to view User Content or to use Client Interaction.
Chargeback.
A demand by a credit-card provider to make good the loss the credit card provider has incurred because the User has without justification disputed a purchase for which the User paid for using the User’s credit card;
User.
Any user of the Website, whether a Virtual Friend or a Client.
User Account.
The section on the Website which can only be accessed by the User which inter alia details the Payment Provider and Payout Options.
User Content.
Any and all photos, videos and other material or facility (including Client Interaction functionality) uploaded onto the Website by a Virtual Friend.
Website.
The website at www.Twedie.com.
About
The Website is a social media website and application service which allows Users to create a profile, upload photos and videos onto their profile, offer merchandise for a set price that may be sold to their Clients, set a monthly subscription price payable by other Users who wish to view their User Content and thereby generate revenue from Clients. Twedie is operated by MGII Enterprise LLC.
These Terms govern your use of the Website, including any content, functionality, and services offered on or through the Website whether part of Twedie.
By registering with and using Twedie, you hereby accept and agree to be bound by and abide by these Terms. If you do not want to agree to these Terms of Service, you must not access or use the Website.
Any information given on the Website including responses to “frequently answered questions” is not legally binding on MGII Enterprise LLC is informative only and does not form part of the Terms.
18 Years or Older.
The Website is only offered and available to Users who are 18 years of age or older. By using the Website, you represent and warrant that you are 18 years of age, that you are of legal age to form a binding contract with MGII Enterprise LLC. If you do not meet all of these conditions, you must not access or use the Website. The Privacy Policy outlines in greater detail how MGII Enterprise uses third parties to verify your eligibility.
Changes and Revises.
MGII Enterprise LLC reserves the right to make changes to these Terms at any time and at MGII Enterprise LLC sole discretion. All changes are effective immediately from the time MGII Enterprise LLC posts them, and apply to all access to and use of the Website thereafter.
By continuing to use Twedie, you agree to the Terms as modified or as they currently appear. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
By using Twedie you consent to receiving communications from MGII Enterprise LLC electronically, including emails and messages posted to your Twedie’s account.
You acknowledge and agree that all communications that MGII Enterprise LLC sends to you electronically satisfy any legal requirement that such communications be in writing. If you wish at any time to withdraw your consent to receiving communications from MGII Enterprise LLC, please email support@Twedie.com, notifying MGII Enterprise LLC of the withdrawal of your consent.
MGII Enterprise LLC does not own User Content on Twedie and views expressed by Users on Twedie do not represent MGII Enterprise LLC views. All transactions and interactions regarding User Content on Twedie are between Users. Except when MGII Enterprise LLC acts as the agent of a Virtual Friend to receive payment for the Virtual Friend from a Client, at no point will MGII Enterprise LLC be a party to or be responsible for any transaction or interaction between Users.
Where MGII Enterprise LLC receives payment from a Client to view User Content uploaded by a Virtual Friend or utilize Client Interaction, MGII Enterprise LLC receives such payment on behalf of the Virtual Friend and not the Client. On receipt of payment by MGII Enterprise LLC the Virtual Friend shall have no right of action against the Client for non-payment and the Virtual Friend shall be obliged to allow the Client to view the User Content and utilize Client Interaction.
MGII Enterprise LLC reserves the right at anytime and without notice to:
modify, suspend or terminate Twedie or any portion thereof;
restrict, limit, suspend or terminate your access to Twedie or any portion thereof;
delete any content you post on Twedie as a Virtual Friend if in MGII Enterprise LLC reasonable opinion it does not comply with these Terms and/or any applicable law;
monitor your use of Twedie (including any content or message you post or broadcast on Twedie) to verify compliance with these Terms and/or any applicable law;
investigate any suspected or alleged misuse or unlawful use of Twedie and cooperate with law enforcement agencies in such investigation;
disclose information about your use of Twedie in connection with law enforcement investigation of any suspected or alleged illegal activity, or in response to a lawful court order; or change the Payment Providers. If MGII Enterprise LLC does this then MGII Enterprise LLC will use its reasonable endeavors to verify the good standing of the new Payment Provider and notify the User and applicable details will be uploaded to the User Account.
From time to time, MGII Enterprise LLC may restrict access to some parts of the Website, or the entire Website, to Users.
How It Works:
Twedie is a social media platform that lets you create a User profile, which in turn allows you to:
Upload User Content to be viewed by other Users or Client Interaction to be used by other Clients; and/or
Pay to view another User’s User Content or use another User’s Client Interaction.
Account Registration.
To become a User you must register and create a User Account on Twedie. You must provide a valid email address, a username, and a password or a valid Twitter account. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete.
You agree that all information you provide as a User or otherwise, including but not limited to information provided through the use of any interactive features on the Website, is governed by MGII Enterprise LLC Privacy Policy , and you proceed on the basis that you are aware of how and why MGII Enterprise LLC process your personal data, as is set out in MGII Enterprise LLC’s Privacy Policy.
If you wish to view User Content you will need to provide details of a payment card to a Payment Provider. Your payment card information is stored by the Payment Provider.
If you are a Virtual Friend and wish to receive payment of Commissions, you will need to include onto your User Account Payout Options and upload a valid form of ID. You may also need to submit additional legal information, such as a W-9 if you are resident in the United States of America.
The exact information required will depend on your country of residence.
Amounts due to you as a Virtual Friend from Clients will be paid to you by one of our Payment Providers in accordance with your Payout Options. With the exception of Virtual Friends wishing to receive payment by direct bank transfer from MGII Enterprise LLC, MGII Enterprise LLC does not store any data disclosed by you when you register your Payout Options with the Payment Provider.
By registering on Twedie, you confirm that:
All User Account registration and profile information is truthful and accurate and that any User Content you provide is your own and does not infringe the intellectual property rights or any other proprietorial rights of a third party;
MGII Enterprise LLC reserve the right, at any time, to verify the information which you provide to MGII Enterprise LLC as well as your compliance with the Terms. If MGII Enterprise LLC is unable to verify this then MGII Enterprise LLC reserve the right to suspend your account.
If you previously had a User Account with Twedie, your old User Account was not terminated or suspended by MGII Enterprise LLC for violation of the Terms of Service;
You register on Twedie for your own personal use and you will not sell, rent or transfer your User Account to any third party;
You will not use any third party payment processors to accept payments for subscriptions, or any other service, via Twedie.
You are fully responsible for any and all activities that occur on your account and you are responsible for keeping your login details confidential and secure. You agree not to disclose these details to any other person or entity and immediately notify MGII Enterprise LLC at support@Twedie.com if you believe someone has used or is using your account without your permission or if your account has been subject to any other breach of security.
Login/Logout.
You also agree to ensure that you log out of your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to access, view or record your password or other personal information.
Logon Privacy.
MGII Enterprise LLC reserves the right to disable any user name, password, or other identifier, whether chosen by you or provided by MGII Enterprise LLC, at any time and at MGII Enterprise LLC’s sole discretion for any or no reason, including if, in MGII Enterprise LLC opinion, you have violated any provision of the Terms.
Payment/Commission.
Subscriptions, Purchases and Payment of Revenue MGII Enterprise LLC will procure that Payment Providers ensure that Virtual Friends will receive the Commission from MGII Enterprise LLC with the difference between the Revenue and Commission being a management fee levied by MGII Enterprise LLC and payments due to the Payment Providers. The management fee is for providing, maintaining and operating the Website. The Commission will be 90% of the Revenue generated by Clients paying to view User Content uploaded by you or use Client Interaction.
Subscribe.
In order to view User Content or utilize Client Interaction on Twedie, you must first add a payment card to your account and then click the 'Subscribe' button on the relevant Virtual Friend’s profile. Your payment card details will be passed to a Payment Provider which will take payment from your payment card and pay it into MGII Enterprise LLC account.
Monthly Payments.
Depending on your use of Twedie the Payment Provider will take monthly payments or will take payments for ad hoc purchases such as Client Interaction or product/merchandise purcahses. However, you may cancel the monthly payments at any time by turning off the 'Auto-Renew' switch located under the relevant Virtual Friend’s User Content profile or by contacting MGII Enterprise LLC at support@Twedie.com.
Cancelation.
If you cancel your monthly payments you will continue to be permitted to view the Virtual Friend's User Content until the end of the existing billing period, after which no further payments will be taken from your payment card and you will no longer be able to view the relevant Virtual Friend’s User Content.
MGII Enterprise LLC receives the Revenue and holds the Commission on behalf of the relevant Virtual Friend, and not on your behalf as a Client. Once MGII Enterprise LLC has received payment from you as a Client you have no further liability to the relevant Virtual Friend and the Virtual Friend shall allow you as a Client to view the User Content or utilize Client Interaction.
MGII Enterprise LLC will take payment of the Revenue from the Client and hold the Commission in MGII Enterprise LLC’s capacity as the agent for the Virtual Friend.
Methods of Payment.
Direct debit on the site using a credit card. As part of the service experience we provide to our customers, we have taken care to implement an advanced and secure clearing system on this site that allows immediate credit card debit in accordance with all the rules set out in the credit card companies regulations.
This system operates in accordance with the PCI standard of the credit companies, which includes very strict data security procedures regarding the preservation of credit card information of users on the site, so there is no need to repeatedly enter the credit information on every purchase, which makes the purchase process simpler, more efficient and much more secure. For users who sign up for the site.
By using Twedie.com with a credit card, you hereby declare that you are considered an adult for the purpose of making purchases in accordance with the law and that you hold a valid credit card issued and approved by the recognized credit card companies, and that you may make transactions under the law.
The company reserves the right to update and / or change and / or add and / or remove the existing means of payment on the site, all in accordance with the payment options provided at the end of placing an order on the site and in accordance with the site's procedures determined by the company from time to time.
Refunds/Chargebacks.
All payments to view User Content or utilize Client Interaction are final and eligible for refundable depending on the nature or completeness of the transaction between Virtual Friend and Client. If MGII Enterprise LLC is alerted that a Client has sought and received a Refund or Chargeback, MGII Enterprise LLC will take additional actions. Any purchase of the right to view User Content or to use Client Interaction which is subsequently subject to a Refund or Chargeback may result in the User’s account being immediately and permanently excluded from Twedie.
The Refund or Chargeback amount may be removed from the earning Virtual Friend's income. The Virtual Friend may be alerted to the Client Refund or Chargeback.
Twitter Sign Up Process:
Twedie allows Users to connect a Twitter account and to create an account by authorization of their Twitter account. By using this feature, you must fully comply with and respect Twitter's Terms of Service.
Account Deactivation:
Should you wish to deactivate your Twedie membership then you may do so in your User Account section.
If you are a Client then any account deactivation will take place as soon as reasonably possible. You will no longer be charged or have access to User Content or Client Interaction. Any subscriptions will be deleted and cannot be subsequently renewed.
If you are a Virtual Friend then you can only deactivate your membership when your last Client Subscription has expired, and you have withdrawn any balance on your account.
Intellectual Property Rights:
Other than User Content, the Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by MGII Enterprise LLC, MGII Enterprise LLC licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Website, except as follows:
You may store files that are automatically cached by your Web browser for display enhancement purposes;
Advertisement.
Twedie.com serves as an advertising platform and allows business owners to offer their products and/or services for sale.
Anyone who chooses to use Twedie.com for the purpose of its publication hereby confirms that by sending content and/or material to Twedie.com and/or by publishing content and/or products and/or materials and/or videos (hereinafter: "Content for publication") than by actually submitting and/or Or you have suggested that he owns all the rights in this content, including intellectual property and copyrights, and that he is entitled to submit them for publication. Twedie.com does not own the rights in the content for publication, you acknowledge that obtaining lawful permission from the rights holder allows you to do so.
You know that sending and/or uploading the content for publication constitutes a free license, worldwide and unlimited in time, for the use of material sent and/or published, and also, constitutes approval for its publication by the site anywhere and whenever the company is thirsty and you allow the company to Use that you find appropriate, including transfer to third parties, at the sole discretion of the company.
It is clarified that the content for publication that will be submitted by you and / or uploaded to the site directly by you is content exclusive to this site and this content may not be used on any other site and / or platform.
Print or Download:
You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms, your right to use the Website will end immediately and you must, at MGII Enterprise LLC option, return or destroy any copies of the materials you have made.
Other than User Content, no right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by MGII Enterprise LLC. Any use of the Website not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
The Twedie name, logo and all related names, logos, product and service names, designs, and slogans are trademarks of MGII Enterprise or licensors. You must not use such marks without MGII Enterprise LLC prior written permission. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.
Shipping.
Orders can be placed on Twedie.com, however handling orders that are made directly from the company will be done on Monday - Sunday between the hours of 09: 00-18: 00. Processing of orders made from a Virtual Friend's account on Twedie.com will be carried out in accordance with the conditions set out in the Virtual Friend's account and therefore, all the conditions set out in this section are relevant to orders made directly from Twedie.com.
Deliveries on Twedie.com will be made by the shipping company with which the Virtual Friend will choose to work from time to time, and depending on the areas where this shipping company provides service only and according to the shipping price which will be determined when ordering the product according to the product and destination.
Delivery time for the product after it has been shipped is between 3-7 business days, depending on the place designated for shipment and according to the policy of the courier company, and subject to what is stated in these regulations.
As stated above, the shipment is made through an external courier company and therefore, Twedie.com has no responsibility for delays related to the courier company.
The Virtual Friend's product will be delivered to the address provided when registering for Twedie.com. A change of address to make the shipment after the shipment has left the Virtual Friend's possesion will result in an additional payment which will be determined by the company at the time of the said change.
The delivery fees on Twedie.com do not include transportation to a destination that is not fixed in the delivery options when placing the order and/or to a destination outside of the United States of America. Delivery to an exceptional destination and/or abroad will be made by prior arrangement with the company and at an additional fee which will be determined by the company when placing the order;
A Virtual Friend may delay delivery and prevent the delivery of the product if full payment has not been received for it and/or an order has not been placed in full and/or properly.
When purchasing a product:
Payment for the shipment will be made by credit card and will be added to the payment for the products, and will not be canceled for any reason, except if the transaction was canceled due to a defect or non-compliance, or if the transaction was canceled before shipment.
Twedie.com reserves the right to change the shipping options, shipping costs and shipping terms on the site at any time.
Note: Delivery times, we are not responsible for delays due to holidays and / or weather conditions and / or any other event beyond our control including events due to force majeure.
Replacements.
Product cannot be replaced.
Vouchers / Promotions.
From time to time Twedie.com may offer users a code/voucher for purchase at a discount and/or on a specific promotion and/or credit for a fixed amount. The validity of the use of the code and/or voucher and/or credit is in accordance with the conditions that will be determined by the site management in accordance with the type of promotion. The management of the site may terminate the promotion or make changes to the terms of the promotion at any time and the user will not have any claim and / or complaint and / or demand regarding cancellation and / or change as stated in this section.
License:
Subject to all of the terms, conditions, limitations and restrictions contained in these Terms, we grant to you a conditional, revocable, non-transferable, non-sublicensable, non-exclusive and limited license to use the Website for your own lawful and personal use only.
You acknowledge and agree that the foregoing license may be revoked and terminated by MGII Enterprise LLC at any time and for any reason (including, without limitation, if you violate these Terms or any applicable law). Any use of Twedie other than as expressly permitted by these Terms is strictly prohibited. All rights not expressly granted herein are reserved by MGII Enterprise LLC.
MGII Enterprise LLC does not warrant that Twedie is compatible with all devices and operating systems. It is your sole responsibility to determine whether or not Twedie is compatible with your device.
Acceptable Use:
MGII Enterprise LLC requires that all Users respect and comply with these Terms below, at all times, when using Twedie.
You may not:
Use Twedie other than for your own lawful and personal use in accordance with these Terms;
Impersonate MGII Enterprise LLC, one of MGII Enterprise LLC employees, another User, or any other person or entity or falsely state, suggest or otherwise misrepresent any affiliation, endorsement, sponsorship between you and MGII Enterprise and/or any other person or entity;
Falsify account registration information, or make unauthorized use of another's information or content;
Use Twedie in any manner or for any purpose that is illegal or unlawful, including engaging in any activity that violates any right of any person or entity;
Copy, reproduce, distribute, modify, or create derivative works from, any portion of Twedie without MGII Enterprise LLC express written permission;
Use Twedie for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
Transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter”, “spam”, or any other similar solicitation;
Engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by MGII Enterprise LLC, may harm MGII Enterprise LLC or Users of the Website or expose them to liability.
You shall not create, upload, post, display, publish or distribute User Content that:
Is obscene, illegal, fraudulent, defamatory, libelous, hateful, discriminatory, threatening or harassing, or in any way which incites violence or violates any of the aforementioned prohibitions;
Violates another's copyright, trademark, right of privacy, right of publicity, or other property or personal right (for example, using the name, likeness, image or other identity of another without proper consent);
Promotes or advertises escort services;
Promotes or advertises fireams or other weapons, drugs, or drug paraphernalia;
Promotes any illegal activity, or advocates, promotes, or assists any unlawful act;
Causes annoyance, inconvenience, or needless anxiety or is likely to upset, embarrass, alarm, or annoy any other person;
Involves 3rd party commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter, or advertising;
Gives the impression that it emanates from or is endorsed by MGII Enterprise LLC or any other person or entity, if this is not the case.
You shall NOT:
Remove, erase, modify or tamper with any copyright, trademark or other proprietary rights notice that is contained in any User Content that you do not own;
Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website;
Decompile, disassemble, reverse engineer, or otherwise attempt to discover or derive the source code of Twedie;
Interfere in any way with the operation of Twedie or any server, network or system associated with Twedie, including, without limitation: hacking, mail-bombing, flooding, overloading, or making "denial of service" attacks; probing, scanning or testing the vulnerability of the site or any server, network or systemassociated with the site; breaching or circumventing firewall, encryption, security or authentication routines; accessing information not intended for you, or accessing another user's account that you are not expressly authorized to access;
Use Twedie for any unauthorized purpose, including, without limitation, for purposes of building a competitive product or service, performance or functionality, or for any other competitive purposes;
Use any automated program, tool or process (including without limitation, web crawlers, robots, bots spiders, and automated scripts) to access Twedie or any server, network or system associated with Twedie, or to extract, collect, harvest or gather content or information from Twedie.
Make any other use of Twedie that violates these Terms or any applicable law.
Unacceptable Posts:
Any content posted that is reported by another User or Twedie, and that is deemed unacceptable by MGII Enterprise LLC, will be deleted and the User notified via email.
Users who repeatedly violate MGII Enterprise Acceptable Use policy may be deactivated. If MGII Enterprise LLC becomes aware that a User is underage, MGII Enterprise LLC will promptly deactivate that User's account and delete all information and content of that User from Twedie.com.
If you are a parent or legal guardian and become aware that your minor-child has registered on Twedie, please immediately notify MGII Enterprise at support@Twedie.com.
Registration:
By registering an account with Twedie, you represent and warrant that:
You are at least 18 years of age;
You will fully comply with these Terms;
You accept full responsibility for the use of Twedie on any device, whether or not it is owned by you;
You accept full responsibility for any User Content created or provided by you;
Your use of Twedie will not violate these Terms or any applicable law.
If you are using Twedie on behalf of a business or other entity, you warrant that you are authorized to grant all the licenses stipulated in or entailed by these Terms and that you are authorized to bind the business or other entity to these Terms.
User Content:
By creating and publishing User Content on Twedie, you authorize your Clients to access and view (without downloading or copying) your User Content on Twedie for their own lawful and personal use. You also represent, warrant and undertake that for each submission:
You own, have a valid license to, or otherwise control all rights in and to your User Content;
To the extent your User Content includes or utilizes any third-party property, you have secured all rights, licenses, written consents and releases that are necessary for the use of such third-party property in your User Content;
You will not post any content depicting any person under 18-years old;
You have inspected and are maintaining written documentation sufficient to confirm that all subjects of your submission are in fact 18-years old or older;
Your User Content is non-confidential and will be made available to your Clients on Twedie.com.
You grant MGII Enterprise LLC and Our licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material.
Purchase of products.
Order made through Twedie.com and in accordance with the ordering process set on the site, at any time. The ordering system on the website works 24/7 and an order can be made at any time and at any time and from anywhere in the world the order will be handled in accordance with the operating hours of the company and / or the supplier(Virtual Friends) as stated in these regulations.
When filling the order for the purchase of a product and / or service, we ask you to be careful and follow the instructions and to fill in all the required details in the ordering process on the website in full, so that we can deliver the product / service on time and without incident.
After placing the order an email will be sent confirming receipt of the order including the details of the order, and a tax invoice will be sent according to the details entered when placing the order.
As a User of Twedie.com, you confirm that the details entered by you on Twedie.com when making the order are correct, complete and accurate, and you agree that the delivery of personal details during the order was made at your will and with your consent.
As long as the details provided are incorrect and / or inaccurate, we will not be able to guarantee the order. Also, and in accordance with the law, knowingly providing false information may constitute a criminal offense and in such a case civil and / or criminal proceedings may be instituted against the submitter of false information, including claims for damages caused to the owners of this site.
For any problem and/or question regarding the product and / or the ordering process, you can contact our customer service by email support@Twedie.com at any time, a response will be given within 72 hours of receiving the email.
Product warranty.
A product purchased directly from the company, the company is responsible for this product in its entirety and in accordance with these regulations and/or any other instruction on this site. A product purchased through this website from a Virtual Friend's store that offers its services and/or products for purchase, the Virtual Friend is the one who is responsible for providing the service, providing the product and canceling the transaction and these will be done in accordance with the terms set in the supplier's account.
In the event of a dispute between a user and a Virtual Friend, the parties may contact MGII Enterprise LLC and MGII Enterprise LLC will try, as far as it can, to assist in resolving this dispute in accordance with the provisions of law and in accordance with the provisions of these regulations.
For clarification:
The clause exists so that we may use your content by adding stickers, text, and watermarks, and to make your content available to Users, as well as for other normal operations of our website. We will never sell your content to other platforms;
You understand and acknowledge that you are responsible for any User Content you submit or contribute, and you have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness;

Notwithstanding MGII Enterprise LLC’s appointment as the Virtual Friend’s agent to pay the Virtual Friend Commission, MGII Enterprise LLC, the Client and Virtual Friend are independent contractors and are responsible for meeting all of their respective legal or statutory obligations.
This extends to the payment of any taxes or other payments properly demanded by a regulatory authority. Should a User fail to meet those obligations then the User shall indemnify MGII Enterprise LLC for any loss or expense, including management time that is as a consequence incurred by MGII Enterprise LLC.
Governing Law and Dispute Resolution:
You and MGII Enterprise LLC agree that these Terms shall be governed by and construed in accordance with the laws of The United States of America and that any dispute between you and MGII Enterprise concerning Twedie or arising out of or related to these Terms shall be resolved exclusively in the courts of United States of America.
Except where prohibited by applicable law, any claim or cause of action by you concerning Twedie or arising out of or related to these Terms must be filed within one year after such claim or cause of action arose, or be forever barred.
Waiver and Severability:
No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

In these Terms following terms have the following meanings:
Twedie.
The social network of Users operating on the Website which enables Users to provide and view User Content and where appropriate, utilize Client Interaction;
Virtual Friend.
A User who uploads Content on the Website to be viewed by other Users;
Client.
A User who follows another Virtual Friend and views the Virtual Friend’s User Content;
Commission.
The amount calculated as a percentage of the Revenue paid by Clients to view a Virtual Friend’s User Content, purchase a Virtual Friend's content and/or merchandise or to use the Client Interaction;
Client Interaction.
Any functionality offered by a Virtual Friend as part of that Virtual Friend’s User Content which is hosted by Twedie which allows a Client to interact with (as opposed to just view) the User Content and or the Virtual Friend.
Payment Provider.
Any third party approved by MGII Enterprise LLC which enables a User to make
payments or a Virtual Friend to receive;
Payout Options.
The instruction given by each Virtual Friend to a Payment Provider as to how Commission will be transferred by the Payment Provider to the Virtual Friend;
Refund.
The return of monies to a Client after a dispute, often issued
prior to a chargeback.
Revenue.
The monies paid by a Client to MGII Enterprise LLC to view User Content or to use Client Interaction.
Chargeback.
A demand by a credit-card provider to make good the loss the credit card provider has incurred because the User has without justification disputed a purchase for which the User paid for using the User’s credit card;
User.
Any user of the Website, whether a Virtual Friend or a Client.
User Account.
The section on the Website which can only be accessed by the User which inter alia details the Payment Provider and Payout Options.
User Content.
Any and all photos, videos and other material or facility (including Client Interaction functionality) uploaded onto the Website by a Virtual Friend.
Website.

The Website is a social media website and application service which allows Users to create a profile, upload photos and videos onto their profile, offer merchandise for a set price that may be sold to their Clients, set a monthly subscription price payable by other Users who wish to view their User Content and thereby generate revenue from Clients. Twedie is operated by MGII Enterprise LLC.
These Terms govern your use of the Website, including any content, functionality, and services offered on or through the Website whether part of Twedie.
By registering with and using Twedie, you hereby accept and agree to be bound by and abide by these Terms. If you do not want to agree to these Terms of Service, you must not access or use the Website.
Any information given on the Website including responses to “frequently answered questions” is not legally binding on MGII Enterprise LLC is informative only and does not form part of the Terms.
18 Years or Older.
The Website is only offered and available to Users who are 18 years of age or older. You acknowledge and agree that all communications that MGII Enterprise LLC sends to you electronically satisfy any legal requirement that such communications be in writing. If you wish at any time to withdraw your consent to receiving communications from MGII Enterprise LLC, please email support@Twedie.com, notifying MGII Enterprise LLC of the withdrawal of your consent.
MGII Enterprise LLC does not own User Content on Twedie and views expressed by Users on Twedie do not represent MGII Enterprise LLC views. All transactions and interactions regarding User Content on Twedie are between Users. Except when MGII Enterprise LLC acts as the agent of a Virtual Friend to receive payment for the Virtual Friend from a Client, at no point will MGII Enterprise LLC be a party to or be responsible for any transaction or interaction between Users.
Where MGII Enterprise LLC receives payment from a Client to view User Content uploaded by a Virtual Friend or utilize Client Interaction, MGII Enterprise LLC receives such payment on behalf of the Virtual Friend and not the Client. On receipt of payment by MGII Enterprise LLC the Virtual Friend shall have no right of action against the Client for non-payment and the Virtual Friend shall be obliged to allow the Client to view the User Content and utilize Client Interaction.
MGII Enterprise LLC reserves the right at anytime and without notice to:
modify, suspend or terminate Twedie or any portion thereof;
restrict, limit, suspend or terminate your access to Twedie or any portion thereof;
delete any content you post on Twedie as a Virtual Friend if in MGII Enterprise LLC reasonable opinion it does not comply with these Terms and/or any applicable law;
monitor your use of Twedie (including any content or message you post or broadcast on Twedie) to verify compliance with these Terms and/or any applicable law;
investigate any suspected or alleged misuse or unlawful use of Twedie and cooperate with law enforcement agencies in such investigation;
disclose information about your use of Twedie in connection with law enforcement investigation of any suspected or alleged illegal activity, or in response to a lawful court order; or change the Payment Providers. If MGII Enterprise LLC does this then MGII Enterprise LLC will use its reasonable endeavors to verify the good standing of the new Payment Provider and notify the User and applicable details will be uploaded to the User Account.
From time to time, MGII Enterprise LLC may restrict access to some parts of the Website, or the entire Website, to Users.
How It Works:
Twedie is a social media platform that lets you create a User profile, which in turn allows you to:
Upload User Content to be viewed by other Users or Client Interaction to be used by other Clients; and/or
Pay to view another User’s User Content or use another User’s Client Interaction.
Account Registration.
To become a User you must register and create a User Account on Twedie. You must provide a valid email address, a username, and a password or a valid Twitter account. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete.
You agree that all information you provide as a User or otherwise, including but not limited to information provided through the use of any interactive features on the Website, is governed by MGII Enterprise LLC Privacy Policy , and you proceed on the basis that you are aware of how and why MGII Enterprise LLC process your personal data, as is set out in MGII Enterprise LLC’s Privacy Policy.
If you wish to view User Content you will need to provide details of a payment card to a Payment Provider. Your payment card information is stored by the Payment Provider.
If you are a Virtual Friend and wish to receive payment of Commissions, you will need to include onto your User Account Payout Options and upload a valid form of ID. You may also need to submit additional legal information, such as a W-9 if you are resident in the United States of America.
The exact information required will depend on your country of residence.
Amounts due to you as a Virtual Friend from Clients will be paid to you by one of our Payment Providers in accordance with your Payout Options. With the exception of Virtual Friends wishing to receive payment by direct bank transfer from MGII Enterprise LLC, MGII Enterprise LLC does not store any data disclosed by you when you register your Payout Options with the Payment Provider.
By registering on Twedie, you confirm that:
All User Account registration and profile information is truthful and accurate and that any User Content you provide is your own and does not infringe the intellectual property rights or any other proprietorial rights of a third party;
MGII Enterprise LLC reserve the right, at any time, to verify the information which you provide to MGII Enterprise LLC as well as your compliance with the Terms. If MGII Enterprise LLC is unable to verify this then MGII Enterprise LLC reserve the right to suspend your account.
If you previously had a User Account with Twedie, your old User Account was not terminated or suspended by MGII Enterprise LLC for violation of the Terms of Service;
You register on Twedie for your own personal use and you will not sell, rent or transfer your User Account to any third party;
You will not use any third party payment processors to accept payments for subscriptions, or any other service, via Twedie.
You are fully responsible for any and all activities that occur on your account and you are responsible for keeping your login details confidential and secure. You agree not to disclose these details to any other person or entity and immediately notify MGII Enterprise LLC at support@Twedie.com if you believe someone has used or is using your account without your permission or if your account has been subject to any other breach of security.
Login/Logout.
You also agree to ensure that you log out of your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to access, view or record your password or other personal information.
Logon Privacy.
MGII Enterprise LLC reserves the right to disable any user name, password, or other identifier, whether chosen by you or provided by MGII Enterprise LLC, at any time and at MGII Enterprise LLC’s sole discretion for any or no reason, including if, in MGII Enterprise LLC opinion, you have violated any provision of the Terms.
Payment/Commission.
Subscriptions, Purchases and Payment of Revenue MGII Enterprise LLC will procure that Payment Providers ensure that Virtual Friends will receive the Commission from MGII Enterprise LLC with the difference between the Revenue and Commission being a management fee levied by MGII Enterprise LLC and payments due to the Payment Providers. The management fee is for providing, maintaining and operating the Website. The Commission will be 90% of the Revenue generated by Clients paying to view User Content uploaded by you or use Client Interaction.
Subscribe.
In order to view User Content or utilize Client Interaction on Twedie, you must first add a payment card to your account and then click the 'Subscribe' button on the relevant Virtual Friend’s profile. Your payment card details will be passed to a Payment Provider which will take payment from your payment card and pay it into MGII Enterprise LLC account.
Monthly Payments.
Depending on your use of Twedie the Payment Provider will take monthly payments or will take payments for ad hoc purchases such as Client Interaction or product/merchandise purcahses. However, you may cancel the monthly payments at any time by turning off the 'Auto-Renew' switch located under the relevant Virtual Friend’s User Content profile or by contacting MGII Enterprise LLC at support@Twedie.com.
Cancelation.
If you cancel your monthly payments you will continue to be permitted to view the Virtual Friend's User Content until the end of the existing billing period, after which no further payments will be taken from your payment card and you will no longer be able to view the relevant Virtual Friend’s User Content.
MGII Enterprise LLC receives the Revenue and holds the Commission on behalf of the relevant Virtual Friend, and not on your behalf as a Client. Once MGII Enterprise LLC has received payment from you as a Client you have no further liability to the relevant Virtual Friend and the Virtual Friend shall allow you as a Client to view the User Content or utilize Client Interaction.
MGII Enterprise LLC will take payment of the Revenue from the Client and hold the Commission in MGII Enterprise LLC’s capacity as the agent for the Virtual Friend.
Methods of Payment.
Direct debit on the site using a credit card. As part of the service experience we provide to our customers, we have taken care to implement an advanced and secure clearing system on this site that allows immediate credit card debit in accordance with all the rules set out in the credit card companies regulations.
This system operates in accordance with the PCI standard of the credit companies, which includes very strict data security procedures regarding the preservation of credit card information of users on the site, so there is no need to repeatedly enter the credit information on every purchase, which makes the purchase process simpler, more efficient and much more secure. Any purchase of the right to view User Content or to use Client Interaction which is subsequently subject to a Refund or Chargeback may result in the User’s account being immediately and permanently excluded from Twedie.
The Refund or Chargeback amount may be removed from the earning Virtual Friend's income. The Virtual Friend may be alerted to the Client Refund or Chargeback.
Twitter Sign Up Process:
Twedie allows Users to connect a Twitter account and to create an account by authorization of their Twitter account. By using this feature, you must fully comply with and respect Twitter's Terms of Service.
Account Deactivation:
Should you wish to deactivate your Twedie membership then you may do so in your User Account section.
If you are a Client then any account deactivation will take place as soon as reasonably possible. You will no longer be charged or have access to User Content or Client Interaction. Any subscriptions will be deleted and cannot be subsequently renewed.
If you are a Virtual Friend then you can only deactivate your membership when your last Client Subscription has expired, and you have withdrawn any balance on your account.
Intellectual Property Rights:
Other than User Content, the Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by MGII Enterprise LLC, MGII Enterprise LLC licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Website, except as follows:
You may store files that are automatically cached by your Web browser for display enhancement purposes;

Shipping.
Orders can be placed on Twedie.com, however handling orders that are made directly from the company will be done on Monday - Sunday between the hours of 09: 00-18: 00. Processing of orders made from a Virtual Friend's account on Twedie.com will be carried out in accordance with the conditions set out in the Virtual Friend's account and therefore, all the conditions set out in this section are relevant to orders made directly from Twedie.com.
Deliveries on Twedie.com will be made by the shipping company with which the Virtual Friend will choose to work from time to time, and depending on the areas where this shipping company provides service only and according to the shipping price which will be determined when ordering the product according to the product and destination.
Delivery time for the product after it has been shipped is between 3-7 business days, depending on the place designated for shipment and according to the policy of the courier company, and subject to what is stated in these regulations.
As stated above, the shipment is made through an external courier company and therefore, Twedie.com has no responsibility for delays related to the courier company.
The Virtual Friend's product will be delivered to the address provided when registering for Twedie.com. A change of address to make the shipment after the shipment has left the Virtual Friend's possesion will result in an additional payment which will be determined by the company at the time of the said change.
The delivery fees on Twedie.com do not include transportation to a destination that is not fixed in the delivery options when placing the order and/or to a destination outside of the United States of America. Delivery to an exceptional destination and/or abroad will be made by prior arrangement with the company and at an additional fee which will be determined by the company when placing the order;
A Virtual Friend may delay delivery and prevent the delivery of the product if full payment has not been received for it and/or an order has not been placed in full and/or properly.
When purchasing a product:
Payment for the shipment will be made by credit card and will be added to the payment for the products, and will not be canceled for any reason, except if the transaction was canceled due to a defect or non-compliance, or if the transaction was canceled before shipment.
Twedie.com reserves the right to change the shipping options, shipping costs and shipping terms on the site at any time.
